These Seller Terms and Conditions (“Terms”) govern your access to and use of the Umzila seller platform, including any seller dashboard, product listing tools, support services, and related features (collectively, the “Platform”).
By registering as a seller, submitting products for listing, or otherwise using the Platform as a seller, you agree to be bound by these Terms. If you do not agree, you may not use the Platform as a seller.
1.1 These Terms form a legally binding agreement between you (“Seller”, “you”, “your”) and Umzila (“Umzila”, “we”, “us”, “our”).
1.2 These Terms apply in addition to any other policies, guidelines, or agreements published by Umzila, including our Privacy Policy, Return and Refund Policy, and Acceptable Use Policy.
1.3 If there is a conflict between these Terms and another policy, these Terms will prevail for seller-related matters unless we state otherwise in writing.
2.1 You must be at least 18 years old and legally capable of entering into a binding contract.
2.2 If you are registering on behalf of a business, you confirm that you are authorised to bind that business to these Terms.
2.3 You must provide true, accurate, current, and complete information when registering or submitting products for listing.
2.4 We may request supporting documents, including identity documents, business registration documents, tax information, proof of address, banking details, or other verification documents.
2.5 We may approve, reject, suspend, or terminate any seller account at our sole discretion, subject to applicable law.

3.2 You must not misrepresent any product, overstate product quality, use misleading images, or publish false or deceptive information.
3.3 You are responsible for ensuring that your products comply with all applicable laws, regulations, industry standards, and safety requirements.
3.4 You must maintain sufficient stock to fulfil confirmed orders. If stock is unavailable, you must notify Umzila immediately.
4.1 You are solely responsible for all content you submit to the Platform, including product names, descriptions, specifications, pricing, images, logos, videos, and other materials (“Seller Content”).
4.2 Seller Content must be accurate, lawful, non-infringing, and not misleading.
4.3 All product images must accurately represent the actual product being sold.
4.4 You grant Umzila a non-exclusive, worldwide, royalty-free, transferable, sublicensable licence to host, store, reproduce, edit, display, distribute, and use your Seller Content for operating the Platform, marketing the Platform, and promoting your listings and products.
4.5 We may edit, reject, remove, or reorder Seller Content for formatting, legal compliance, quality control, customer safety, or operational reasons.
4.6 We may request original images, proof of ownership, invoices, or other supporting documents before approving or continuing a listing.
5.1 The current listing and content service fee is as follows:
5.2 Fees are payable before work begins, unless we agree otherwise in writing.
5.3 All fees are non-refundable once work has started, except where required by law.
5.4 We may issue invoices electronically. Payment must be made using the payment methods we specify.
5.5 Umzila currently does not charge commission on sales unless stated otherwise in writing.
5.6 We reserve the right to introduce commission, service fees, or other charges in the future on reasonable notice.
5.7 You are responsible for any bank charges, transfer fees, tax obligations, and other costs associated with receiving or making payments.
6.1 Once an order is placed and confirmed, you must process it promptly and in a professional manner.
6.2 You must package products securely and ship them within the timeframe stated on the Platform or, if no timeframe is stated, within a reasonable period.
6.3 You must provide accurate tracking information where available.
6.4 If you fail to dispatch an order on time, dispatch the wrong item, or deliver an item that is damaged due to poor packaging or handling, you remain responsible for resolving the issue.
6.5 Risk of loss and responsibility for fulfilment remain with you until the order is properly handed to the courier or delivered in accordance with the delivery method agreed for that order, subject to applicable law and the customer’s rights.
6.6 We may cancel, pause, or place an order under review if we suspect fraud, abuse, stock issues, or compliance concerns.
7.1 You must comply with our Return and Refund Policy and with applicable consumer law.
7.2 If a return is accepted, you must cooperate with the return process and provide reasonable instructions for the return of the item.
7.3 Unless a return is required because the product is faulty, incorrect, damaged on arrival, or otherwise covered by applicable law, the customer may be responsible for return shipping costs, subject to the return policy and applicable law.
7.4 Where a refund is approved, Umzila may process the refund through the Platform and deduct the refunded amount from your next payout, set off the amount against amounts otherwise payable to you, or invoice you directly.
7.5 You remain responsible for returned items that are damaged, incomplete, or not as described, to the extent permitted by law and our policies.
7.6 Nothing in these Terms limits any consumer right that cannot lawfully be excluded.
8.1 You represent and warrant that you own or have all necessary rights and licences to use and submit your Seller Content and products.
8.2 You must not list or sell items that infringe copyright, trademark, patent, design, trade secret, or other intellectual property rights.
8.3 If we receive a complaint or notice alleging infringement, we may remove or suspend the affected listing while investigating.
8.4 We may request proof of authenticity, proof of purchase, authorisation letters, or other evidence to confirm your right to sell a product.
8.5 Repeated or serious intellectual property violations may result in suspension or permanent removal from the Platform.
9.1 You may not list, promote, sell, or attempt to sell any item that is illegal, unsafe, prohibited by law, or prohibited by Umzila policy.

10.1 You acknowledge that online commerce may involve fraud, chargebacks, abuse, and disputed transactions.
10.2 We may use internal controls to identify suspicious activity, including identity checks, order review, payment verification, and transaction monitoring.
10.3 We may delay, withhold, or reverse payouts where we reasonably believe a transaction is fraudulent, disputed, reversed, unauthorised, or otherwise problematic.
10.4 You agree to cooperate with Umzila, payment providers, courier services, and law enforcement in relation to suspected fraud or unlawful conduct.
10.5 If a chargeback, payment reversal, or fraud loss arises from your conduct, your products, or your breach of these Terms, you may be responsible for the resulting loss, to the extent permitted by law.
11.1 Subject to verification, successful order completion, and any pending disputes or investigations, Umzila will pay seller proceeds to the bank account you nominate.
11.2 We may set off any amounts owed by you to Umzila against amounts payable to you.
11.3 We may withhold payouts where required for fraud checks, dispute resolution, chargebacks, refunds, policy violations, or legal compliance.
11.4 You are responsible for ensuring your banking details are correct and current.
12.1 You are solely responsible for determining, reporting, and paying any taxes, duties, levies, or other charges that apply to your sales.
12.2 If tax laws require it, you must provide the relevant tax details or supporting documentation.
12.3 Umzila does not provide tax, accounting, or legal advice.
13.1 You must comply with all applicable laws and regulations relating to your products, your business, and your use of the Platform.
13.2 This includes, where applicable, consumer protection, product safety, labelling, advertising, electronic commerce, data protection, and intellectual property laws.
13.3 You must comply with the rights of consumers under applicable South African law, including requirements relating to product quality, returns, and fair dealing. South Africa’s Consumer Protection Act is designed to promote a fair, accessible, and sustainable marketplace and includes consumer rights relating to return of defective or unsafe goods.
13.4 You must process personal information lawfully and securely. POPIA is South Africa’s law regulating the protection of personal information and minimum requirements for processing personal data.
14.1 You may only use customer personal information for the purpose of fulfilling orders, providing customer support, and complying with your legal obligations.
14.2 You may not sell, disclose, misuse, or retain customer personal information longer than reasonably necessary for legitimate business or legal purposes.
14.3 You must implement reasonable security measures to protect personal information from loss, misuse, unauthorised access, disclosure, alteration, or destruction.
14.4 If you believe customer data has been compromised, you must notify Umzila immediately.

15.2 You agree to indemnify, defend, and hold harmless Umzila, its directors, employees, agents, affiliates, and service providers from any claims, losses, damages, liabilities, costs, or expenses arising from:
16.1 To the fullest extent permitted by law, Umzila is provided on an “as is” and “as available” basis.
16.2 Umzila is a platform facilitator and is not the manufacturer, importer, distributor, or seller of the products you list unless we expressly state otherwise in writing.
16.3 To the fullest extent permitted by law, Umzila will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, loss of business, or loss of data.
16.4 To the fullest extent permitted by law, our total liability arising out of or relating to these Terms will not exceed the total fees you paid to Umzila in the six months immediately before the event giving rise to the claim.
16.5 Nothing in these Terms excludes liability that cannot lawfully be excluded.
17.1 You may stop selling on the Platform at any time by requesting account closure and removing your listings, subject to the completion of any open orders, disputes, refunds, or investigations.
17.2 We may suspend or terminate your account, remove listings, or restrict access to the Platform immediately if:

18.1 If a dispute arises between a Seller and a customer, you must first cooperate in good faith with Umzila’s internal dispute process.
18.2 If a dispute arises between you and Umzila, the parties will first attempt to resolve it informally and in good faith.
18.3 If the dispute is not resolved informally, it may be referred to arbitration in South Africa in accordance with the rules of the Arbitration Foundation of Southern Africa (AFSA), which provides domestic commercial arbitration rules and administers dispute resolution through its established framework.
18.4 The seat of arbitration will be Durban, South Africa, unless we agree otherwise in writing.
18.5 Nothing in this section prevents either party from seeking urgent interim or injunctive relief from a court of competent jurisdiction.
19.1 We may update these Terms from time to time.
19.2 Where required, we will give reasonable notice of material changes by email, notice on the Platform, or another reasonable method.
19.3 Your continued use of the Platform after the effective date of updated Terms means you accept the updated Terms.
20.1 If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force and effect.
20.2 No failure or delay by Umzila in enforcing any right will operate as a waiver of that right.
20.3 You may not assign or transfer your rights under these Terms without our prior written consent.
20.4 We may assign or transfer our rights and obligations under these Terms where reasonably necessary for our business operations.
20.5 These Terms, together with our related policies, constitute the entire agreement between you and Umzila regarding seller use of the Platform.
